1. Acceptance of Terms

By accessing or using the Aria AI platform ("Service"), operated by Aria AI ("we", "us", "our"), located in Montreal, Quebec, Canada, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Aria AI provides an artificial intelligence-powered receptionist platform including chat agents, voice answering services, appointment booking, and lead capture tools for small businesses. The Service is provided on a subscription basis with tiered plans.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Subscriptions and Billing

  • All subscriptions are billed in Canadian Dollars (CAD) on a recurring monthly or annual basis through Stripe.
  • You authorize us to charge your payment method on file for the applicable fees.
  • Plan upgrades take effect immediately with prorated charges. Downgrades take effect at the end of the current billing period.
  • Voice minutes exceeding your plan allocation may be billed at overage rates or result in service throttling at our discretion.
  • You may cancel your subscription at any time through your dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. No partial refunds are provided.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law, including CASL (Canada's Anti-Spam Legislation) and Quebec privacy laws.
  • Transmit harmful, harassing, abusive, or fraudulent content through the AI agents.
  • Attempt to reverse engineer, decompile, or extract source code from the Service.
  • Use the Service to send unsolicited commercial communications in violation of CASL.
  • Exceed your plan's usage limits in a manner that degrades service for other users.

6. AI-Generated Content

Responses generated by Aria AI agents are produced by artificial intelligence and may not always be accurate, complete, or appropriate. You are responsible for reviewing AI-generated content and for any decisions or actions taken based on such content. We do not guarantee the accuracy of AI responses.

7. Phone Numbers and Voice Services

Phone numbers provisioned through our Service are licensed, not owned, by you. We reserve the right to reclaim or reassign phone numbers upon subscription cancellation or account termination. Voice calls may be recorded and processed to improve service quality. Call recordings are retained for up to 30 days unless otherwise required by law.

8. Intellectual Property

You retain ownership of your business data and content. We retain ownership of the Service, its technology, design, and all associated intellectual property. The AI system prompts generated from your business data are licensed to you for use within the Service only.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Aria AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service. Our total liability shall not exceed the fees you paid in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or other reasonable cause. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for thirty (30) days following termination.

11. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Montreal, Quebec.

12. CASL Compliance

We comply with Canada's Anti-Spam Legislation (CASL). Any commercial electronic messages sent through our platform include identification of the sender, a valid physical mailing address, and a functioning unsubscribe mechanism. Recipients may opt out at any time by replying "STOP" or using the unsubscribe link provided.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or through the Service at least thirty (30) days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
